Welcome to TutorFlow (accessible at tutorflow.in). These Terms of Service ("Terms") govern your access to and use of the website, services, and software provided by TutorFlow Pvt Ltd ("Company", "we", "us", or "our").

Our platform is classified under SAC Code 999294 (Online Educational Services). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

1. Description of Service

TutorFlow provides a software-as-a-service (SaaS) Learning Management System (LMS) that enables independent tutors ("Tutors") to build, publish, manage, and sell online courses from their branded storefront, and enables students ("Students") to purchase, access, and consume those courses.

2. Account Registration and Eligibility

  • Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to register an account. By registering, you warrant that you possess the legal capacity to enter into a binding agreement.
  • Accuracy of Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
  • Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Tutor Obligations and Content Policy

As a Tutor, you are solely responsible for the course content, pricing, marketing, and customer support provided to your Students.

  • Content Ownership: You retain all intellectual property rights in the course materials, videos, text, and other documents you upload to the platform.
  • Licensing to TutorFlow: You grant TutorFlow a non-exclusive, worldwide, royalty-free license to host, store, transfer, display, and distribute your content solely for the purpose of providing the Services.
  • Prohibited Content: You agree not to upload or sell courses that violate any laws, contain hate speech, promote violence, infringe on third-party intellectual property, or are deceptive, obscene, or harmful. We reserve the right to remove any content or suspend accounts that violate these rules.

4. Payment Terms, Billing, and Subscriptions

  • Tutor Subscriptions: Tutors subscribe to TutorFlow under monthly or annual billing plans (Starter, Pro, Growth). Subscriptions are billed in advance and auto-renew until cancelled.
  • Free Trial: We offer a 14-day free trial. No credit card is required to sign up. If you do not subscribe to a paid plan before the end of the trial, your access will be downgraded or suspended.
  • Student Payments: Students pay for courses directly through the Tutor's storefront. Payments are processed by Razorpay.
  • Payouts: TutorFlow routes payments to Tutors via Razorpay Route/Transfer APIs. Tutors are responsible for maintaining a valid Indian bank account and providing accurate GST details (if applicable).
  • Fees: TutorFlow does not charge commission fees on course sales under the standard tiers. Tutors are responsible for payment gateway fees charged by Razorpay and applicable taxes.

5. Intellectual Property Rights

Except for Tutor-generated content, all content on the platform, including software, code, designs, text, graphics, logos, and trademarks, is the property of TutorFlow Pvt Ltd and is protected by copyright, trademark, and other intellectual property laws of India and international treaties. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

6. Limitation of Liability

To the maximum extent permitted by applicable law, TutorFlow Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Services.
  • Any conduct or content of any third party on the Services, including any defamatory, offensive, or illegal conduct of other users.
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall the total aggregate liability of TutorFlow Pvt Ltd for all claims exceed the amount paid by you to the Company in the three (3) months preceding the event giving rise to the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

8. Amendments to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
